Terms and Conditions

Please read our terms and conditions for graphic design, printing, web development and web hosting services.

Graphic design

All graphic design work is to be paid in full to Vertex Media by the client before artwork is delivered to the client. Delivery of final artwork to clients is done via email, FTP, Australia post and other Australian courier services.

Clients are responsible to complete full payment of the quoted price if the client requests Vertex Media to undergo or complete graphic design services in any form. If any artwork created by Vertex Media has been created on the request of the customer and delivered to the customer via email, FTP or postage services, the customer is responsible to complete full payment to the value of the artwork files the client has received from Vertex Media.

Printing

Upfront payment is required for all orders.

All printing is to be paid in full to Vertex Media by the client before artwork is forwarded to the product team to commence printing. Delivery of all Vertex Media printing is by Australia post and other Australian courier services.

Clients are responsible to complete full payment of the quoted printing price before printing commences. If any artwork created by Vertex Media has been created on the request of the customer and delivered to the customer via email, FTP or postage services, the customer is responsible to complete full payment to the value of the artwork files the client has received from Vertex Media.

1. Payment

Full payment is required prior to the commencement of printing.
2. Our fees and deposits
Payments can be made by Direct Bank Deposit or Credit Card via Stripe. (Visa and Mastercard) Domestic credit card payments incur 1.5% + $0.30 charge and International credit card payments incur 2.9% + $0.30 charge per transaction.

Web Development / Design

All web development services are to be paid in full to Vertex Media before new websites go live on the world wide web. All outstanding invoices must be paid in full or services could be terminated and websites placed offline until full payment of invoices are paid in full.

1. Standard terms and conditions
These are the standard terms and conditions for Website Design and Development and apply to all contracts and all work undertaken by Vertex Media for its clients.
2. Our fees and deposits
A 50% deposit of the total fee payable under our proposal is due immediately upon you instructing us to proceed with the website design and development work. The remaining 50% shall become due when the work is completed to your reasonable satisfaction but subject to the terms of the “approval of work” and “rejected work” clauses. We reserve the right not to commence any work until the deposit has been paid in full.

The 50% deposit is only refundable if we have not fulfilled our obligations to deliver the work required under the agreement. The deposit is not refundable if the development work has been started and you terminate the contract through no fault of ours.

3. Supply of Materials
You must supply all materials and information required by us to complete the work in accordance with any agreed specification. Such materials may include, but are not limited to, photographs, written copy, logos and other printed material. Where there is any delay in supplying these materials to us which leads to a delay in the completion of work, we have the right to extend any previously agreed deadlines by a reasonable amount.

Where you fail to supply materials, and that prevents the progress of the work, we have the right to invoice you for any part or parts of the work already completed.

4. Variations

We are pleased to offer you the opportunity to make revisions to the design. However, we have the right to limit the number of design proposals to a reasonable amount and may charge for additional designs if you make a change to the original design specification.

Our website development phase is flexible and allows certain variations to the original specification. However any major deviation from the specification will be charged at the rate of AU$75.00 per hour.

5. Project delays and client liability

It is required that a single point of contact be appointed from your side and be made available on a daily basis in order to expedite the feedback process.

6. Approval of work

On completion of the work you will be notified and have the opportunity to review it. You must notify us in writing of any unsatisfactory points within 7 days of such notification. Any of the work which has not been reported in writing to us as unsatisfactory within the 7-day review period will be deemed to have been approved. Once approved, or deemed approved, work cannot subsequently be rejected and the contract will be deemed to have been completed and the 50% balance of the project price will become due.

7. Rejected work

If you reject any of our work within the 7-day review period, or not approve subsequent work performed by us to remedy any points recorded as being unsatisfactory, and we, acting reasonably, consider that you have been unreasonable in any rejection of the work, we can elect to treat this contract as at an end and take measures to recover payment for the completed work.

8. Payment and Website Suspension Policy:

Upon completion of the 7-day review period, we will invoice you for the 50% balance of the project.

9. Warranty by you as to ownership of intellectual property rights.

You must obtain all necessary permissions and authorities in respect of the use of all copy, graphic images, registered company logos, names and trade marks, or any other material that you supply to us to include in your website or web applications.

You must indemnify us and hold us harmless from any claims or legal actions related to the content of your website.

10. Licencing

Once you have paid us in full for our work we grant to you a license to use the website and its related software and contents for the life of the website.

11. Search engines

We do not guarantee any specific position in search engine results for your website. We perform basic search engine optimisation according to current best practice.

12. Consiquential Loss

We shall not be liable for any loss or damage which you may suffer which is in any way attributable to any delay in performance or completion of our contract, however that delay arises.

13. Subcontracting

We reserve the right to subcontract any services that we have agreed to perform for you as we see fit.

14. Non-disclosure

We (and any subcontractors we engage) agree that we will not at any time disclose any of your confidential information to any third party.

15. Additional Expenses

You agree to reimburse us for any requested expenses which do not form part of our proposal including but not limited to the purchase of templates, third party software, stock photographs, fonts, domain name registration, web hosting or comparable expenses.

16. Backups

We are responsible for maintaining backups of websites fully managed by Vertex Media. websites. We are responsible for restoring any client data or client websites. We will not be liable for restoring any client data or client websites if the client has authorized and developers, advertising agencies social media agencies access to the administrator or editor features within any websites managed by Vertex Media. Vertex Media is not responsible for developer labour costs to fix or restore broken websites or any website code or features after access has been made to the backend of websites created and managed by Vertex Media.

17. Ownership of domain names

We will supply to you account credentials for domain name registration and/or web hosting that we purchased on your behalf when you reimburse us for any expenses that we have incurred.

In the event that the website owner fails to pay the issued invoice within 60 days from the invoice date, Vertex Media reserves the right to take appropriate actions. In such cases, Vertex Media will place the account on ‘Updates in Progress – Be Back Very Soon’ status, which will be prominently displayed on the home page of the website until full payment is made.

Furthermore, it is understood that any domain names associated with the website will not be released to the website owner until the outstanding balance is settled in full. Vertex Media retains ownership and control of the domain names DNS settings until payment has been received.

It is the responsibility of the website owner to ensure timely payment of invoices. Failure to make payment within the specified timeframe may result in the suspension of website updates and the withholding of domain name release until full payment is received.

Vertex Media will make reasonable efforts to resolve any payment disputes or outstanding issues promptly and professionally. However, Vertex Media shall not be held liable for any loss, damages, or inconvenience caused by the account being placed on ‘Updates in Progress – Be Back Very Soon’ status or the withholding of domain names due to unpaid invoices.

By availing our services, the website owner acknowledges and agrees to these terms and conditions regarding payment and account status.

18. Domain Transfer and DNS Settings
a. Vertex Media offers clients the option to transfer their domain names to us for the purpose of setting up special DNS settings that aim to provide maximum website performance and security.
b. If a client wishes to transfer their domain back to their own account, additional fees may apply.
c. The additional fee for changing DNS settings from Vertex Media hosting is only applicable if the client wishes to access the website’s backend or change to another hosting provider.
19. Website Backend Access
Vertex Media fully manages website updates and development for our clients. If a client wishes to access the website’s backend and become an admin, additional fees will be incurred. This is necessary due to the specialised nature of backend setup and maintenance.
20. Plugin Licensing
If a client wishes to assume the administrator role of their website while still hosting it with Vertex Media, all plugins licensed to Vertex Media must be removed. This process may involve installing free versions of the plugins if they are available. Additional fees may be applicable. The client will be responsible for purchasing their own licenses to retain the same functionality.
21. Termination of Vertex Media’s Access
a. If a client chooses to take control of their website and no longer allows Vertex Media access, the client must communicate this to Vertex Media in writing.
b. Any requested termination will not affect the domain transfer or DNS settings unless specified otherwise.
22. Miscellaneous
a. These terms and conditions are subject to change at Vertex Media’s discretion, and clients will be notified of any modifications.
b. Vertex Media reserves the right to refuse any domain transfer or backend access request at its sole discretion.
c. Vertex Media is not responsible for any third-party plugin licensing or related issues.upport team.
By utilizing Vertex Media’s services, clients acknowledge and agree to these terms and conditions. If you have any questions or concerns regarding these terms, please feel free to reach out to our customer support team.

23. Governing Law

The agreement constituted by these terms and conditions and any proposal will be construed according to and is governed by the laws of New South Wales. You and Vertex Media submit to the non-exclusive jurisdiction of the courts in and of New South Wales in relation to any dispute arising under these terms and conditions or in relation to any services we perform for you.

24. Cross browser compatibility

By using current versions of well supported content management systems such as “WordPress”, we endeavour to ensure that the web sites we create are compatible with all current modern web browsers such as the most recent versions of Firefox and Chrome. Third party extensions, where used, may not have the same level of support for all browsers. Where appropriate we will substitute alternative extensions or implement other solutions, on a best effort basis, where any incompatibilities are found.

25. E-Commerce

You are responsible for complying with all relevant laws relating to e-commerce, and to the full extent permitted by law will hold harmless, protect, and defend and indemnify Vertex Media and its subcontractors from any claim, penalty, tax, tariff loss or damage arising from your or your clients’ use of Internet electronic commerce.

Web hosting

At Vertex Media, we are committed to delivering reliable and efficient website hosting services to ensure your online presence remains seamless. To maintain this level of service, we have established the following payment guidelines. Please take a moment to review the following terms and conditions that outline the payment and website suspension policy:

1. Payment and Website Suspension Policy:

  • Payment Terms: All website hosting payments to Vertex Media are required to be made 30 days prior to the expiry date of the web hosting package, as indicated on the invoice. This advanced payment ensures a seamless continuation of your hosting services. Your timely compliance with this policy is appreciated and contributes to the uninterrupted delivery of our dependable services.
  • Late Payments: In the event that payments are not received by the due date specified on the invoice, the website hosting services will be subject to suspension.
  • Suspension Process: Following the due date, there will be a 3-day grace period to account for any potential delays in bank transactions. If payment is not received within this window, the website hosting services will be temporarily suspended.
  • Service Restoration: Upon receipt of the overdue payment, the website hosting services will be promptly reinstated. Please note that during the suspension period, the website’s availability may be affected.

We value your business and strive to maintain the highest level of service. Ensuring timely payments helps us deliver a seamless experience. If you encounter any payment-related issues, please contact our billing department promptly to resolve the matter and avoid any service interruptions.

DIGITAL PROOFS

The digital proofs we send to you to view are low resolution for proofing on a computer screen or mobile device. We send a digital proof for viewing and purposes only.

If the artwork you’ve given us is low resolution it will be noted on your digital proof. The colours displayed on the proofs are not guaranteed to be accurate. This is because colours vary from on-screen (RGB) to the final printed product (CMYK/PMS).

If you’re concerned about way your proof looks, feel free to contact us via phone or email. We are more than happy to discuss any concerns you might have regarding your proof, or arrange for a hard copy sample to be posted to you.

REFUNDS & RETURNS

If there is a problem with your printed goods, you must notify us within 7 days of receiving the goods of any defects discovered with the order or the claim will be denied.

In order to receive a replacement, you must return 100% of the received product within 14 days from the time when the order was received.

All charges related to expedited printing (Urgent Printing or Shipping) are non-refundable, including orders that are returned for any reason. Please ensure your artwork has been proofed and then proofed again before signing off a digital proof. Signing off on a digital proof or printing order, means you have viewed your artwork and you’re 100% certain your artwork and/or print order is ready to commence the printing process. Vertex Media does not take responsibility for any errors found in the artwork once a client has signed off on a digital proof.
